These Terms and Conditions (“Terms”) govern your access to and use of submeter.com and related NES web properties (the “Site”), operated by National Exemption Service LLC (“NES,” “we,” “us,” or “our”). By accessing or using the Site, or by submitting a form on the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

These Terms govern use of the public Site only. Your use of NES billing or submetering services, and any resident or client portal, is governed by your separate service agreement or portal terms.

1. Use of the Site

You may use the Site for lawful purposes and to learn about and request NES services. You agree not to:

  • use the Site in any way that violates applicable law or these Terms;
  • attempt to gain unauthorized access to the Site, its servers, or any connected systems;
  • interfere with or disrupt the Site or introduce malware or harmful code;
  • scrape, harvest, or collect data from the Site by automated means, or use Site content to train machine-learning or artificial-intelligence models, without our prior written permission;
  • misrepresent your identity or submit false information through our forms.

2. Information you submit

When you submit information through a form (for example, a quote request, contact request, or job application), you represent that the information is accurate and that you are authorized to provide it. You grant NES the right to use that information to respond to and process your request, as described in our Privacy Policy. Do not submit confidential information you do not wish to share, or personal information about others without their permission. When you submit a quote, contact, or similar request you also consent to NES contacting you about that request by phone, email, or text message, including through automated dialing or texting systems, at the number and address you provide. Message and data rates may apply. You can withdraw that consent at any time by replying STOP to a text, by telling the caller, or by emailing resolutions@submeter.com. Consent is not a condition of purchasing any NES service. We keep a record of the consent language you saw, the time, and the connection details of your submission.

3. Intellectual property

The Site and its content, including text, graphics, logos, images, and software, are owned by NES or its licensors and are protected by intellectual-property laws. “National Exemption Service,” “NES,” and related marks are trademarks of NES. You may view and print Site content for your own informational, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission.

4. No professional advice

Content on the Site about submetering, RUBS billing, utility management, and state or local rules is provided for general information only and is not legal, financial, or professional advice. See our Disclaimer. You should consult a qualified professional before relying on any such information. Figures produced by the ROI calculator and similar tools on the Site are models built on national averages and the inputs you choose; they are illustrations, not quotes, offers, or guarantees of any result.

5. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that information on the Site is complete, accurate, or current.

6. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NES AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

7. Indemnification

You agree to indemnify and hold harmless NES from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or your violation of these Terms or applicable law.

8. Third-party links

The Site may contain links to third-party websites and services that we do not control. We are not responsible for their content, products, or practices, and providing a link does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.

9. Changes to the Site and these Terms

We may modify or discontinue the Site, or update these Terms, at any time. When we update these Terms, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction, except where applicable law provides otherwise.
